1. Acceptance of Terms
By accessing or using the Electric Sheep platform (the “Platform”), the website electric-sheep.xyz (the “Site”), or any features, tools, smart contracts, or materials made available through them (collectively, the “Services”), you accept and agree to be bound by these Terms and Conditions (the “Terms”). If you do not agree to these Terms, you must not access or use the Services.
The Services are provided to enable users to read, publish, share, and interact with serialised creative works, and to participate in associated token mechanics on Creator Chain. The operator of the Platform reserves the right to modify, suspend, or discontinue the Services at any time, with no liability whatsoever in connection thereto.
These Terms may be revised from time to time. When changes are made, the “Last Updated” date at the top of this document will be revised. Your continued access to or use of the Services after changes are made constitutes your binding acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
2. Eligibility
You represent and warrant that you are at least 18 years of age or the legal age of majority in your jurisdiction, whichever is greater. You represent that you are legally permitted to use the Services in your jurisdiction, including, where applicable, owning cryptographic tokens and interacting with blockchain-based applications. You are responsible for ensuring compliance with the laws of your jurisdiction. You further represent and warrant that all funds or assets used by you in connection with the Services have been lawfully obtained.
3. Account Access and Security
3.1 Access to the Platform may be provided via Google authentication, cryptocurrency wallet connection (e.g., MetaMask, RainbowKit, WalletConnect, or other Web3 providers), or other authentication methods made available from time to time. You are solely responsible for maintaining the security of your authentication credentials, wallet private keys, and any related information.
3.2 You are solely responsible for all activities conducted through your account, whether or not you authorised the activity. We bear no responsibility for any breach of security or unauthorised access to your account.
3.3 If you connect a cryptocurrency wallet, your public wallet address will be visible whenever you engage in on-chain transactions through the Platform. We cannot reverse, modify, or cancel blockchain transactions.
4. The Platform and Content
4.1 Reading Content
The Platform hosts serialised creative works (“Titles”) published by creators. Reading content on the Platform is free. Certain features, including fan numbering and sheep points, require a user account.
4.2 Publishing Content
Creators may publish original creative works on the Platform. By publishing content, you represent and warrant that:
- You are the original creator of the work or have all necessary rights and permissions to publish it;
- The content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party;
- The content does not contain unlawful, defamatory, obscene, or otherwise objectionable material;
- You assume full responsibility for the content you publish.
4.3 Content Ownership and Licence
Creators retain full intellectual property rights over their published works. By publishing on the Platform, you grant the Platform a non-exclusive, worldwide, royalty-free licence to display, distribute, reproduce, and promote your content in connection with the operation of the Services. This licence does not transfer ownership of your intellectual property.
The Platform reserves the right to remove or restrict access to any content at its sole discretion, including but not limited to content that violates these Terms or applicable law.
4.4 User-Generated Content
Users may post comments, reactions, and other user-generated content. You are solely responsible for the content you post. The Platform may moderate, edit, or remove user-generated content at its discretion.
5. Fan Numbering
When a user creates an account and reads a Title for the first time, they are assigned a sequential fan number for that Title. Fan numbers are permanent, unique per user per Title, and serve as a record of reading engagement. Fan numbers do not represent any financial right, ownership stake, or entitlement to any tokens, rewards, or other benefits.
6. Sheep Points
6.1 Sheep are off-chain engagement points earned through Platform activity, including but not limited to daily login, reading episodes, sharing content, and posting comments. Sheep are not tokens, are not recorded on any blockchain, have no monetary value, and are not redeemable, transferable, or exchangeable for any currency, cryptocurrency, or other consideration.
6.2 Users may bid their sheep on Titles via the Superfan Leaderboard. Bids are permanent and irreversible. Leaderboard rankings reset monthly.
6.3 The Platform reserves the right to modify the sheep points system, including earning rates, bid mechanics, and leaderboard rules, at any time and at its sole discretion. The Platform reserves the right to adjust, reset, or remove sheep point balances for any reason.
6.4 Leaderboard positions may be considered by creators when distributing token rewards, but no guarantee of any reward is made or implied. Any distribution of tokens in connection with leaderboard standings is entirely at the discretion of the relevant creator and does not constitute an obligation of the Platform.
7. Title Tokens
7.1 Overview
Creators may launch title-specific ERC-20 tokens on Creator Chain. These tokens are created and governed by smart contracts deployed on a public blockchain. The Platform facilitates the creation and display of these tokens but does not control or guarantee their value, liquidity, or utility.
7.2 Token Launch Conditions
Title tokens may only be launched when the applicable conditions set by the Platform are met. These conditions may change from time to time.
7.3 Token Allocation and Distribution
Token supply allocation, including creator vesting, liquidity pool contributions, and reserve allocations, is defined at the time of token creation and governed by the relevant smart contracts. Any distribution of tokens from the reserve, including but not limited to community rewards or creator-initiated airdrops, is at the sole discretion of the creator and does not constitute an obligation or guarantee by the Platform.
7.4 No Investment Advice
Title tokens are not securities, investment contracts, or financial instruments. The Platform does not provide investment advice, and nothing on the Platform should be construed as such. Token values may fluctuate, and you may lose some or all of the value of tokens you acquire. You are solely responsible for evaluating the risks associated with acquiring, holding, or disposing of any tokens.
7.5 Liquidity and Trading
Title tokens may be paired with $CRTR on decentralised exchanges. The Platform does not guarantee the availability of liquidity, the existence of trading markets, or the ability to buy or sell tokens at any given time.
8. $CRTR Token
8.1 Certain features of the Platform, including placement auctions and title token liquidity pools, are denominated in $CRTR, the native governance token of Creator Chain. The Platform does not issue, control, or manage $CRTR.
8.2 You are solely responsible for acquiring $CRTR through lawful means and for understanding the risks associated with holding and transacting in $CRTR.
9. Placement Auctions
Creators may enable placement auctions on their Titles, allowing third parties to bid for short text placements alongside episodes. Bids are denominated in $CRTR. The Platform facilitates the auction mechanism but is not responsible for the content of placements. Creators receive auction proceeds subject to the applicable platform fee.
10. Transactions and Fees
10.1 On-chain transactions conducted through the Platform are processed via Creator Chain. The Platform has no control over and cannot reverse blockchain transactions.
10.2 Blockchain transactions require the payment of gas fees denominated in ETH on Creator Chain. Gas fees are determined by network conditions and are not set or controlled by the Platform.
10.3 The Platform may charge fees for certain features, including but not limited to placement auctions and token creation. Applicable fees will be disclosed at the point of transaction.
10.4 You are solely responsible for any taxes, duties, or assessments arising from your use of the Services, including any obligations arising from the acquisition, holding, or disposal of tokens.
11. Disclaimers
11.1 THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11.2 WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11.3 YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. WE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
11.4 WE ARE NOT RESPONSIBLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR FAILURE TO MAINTAIN THE SECURITY OF YOUR ACCOUNT CREDENTIALS OR WALLET PRIVATE KEYS.
12. Representations and Risks
12.1 Cryptographic Systems
By using the Services, you represent that you understand the inherent risks associated with cryptographic systems, blockchain technology, and digital assets, including but not limited to smart contract vulnerabilities, network congestion, regulatory uncertainty, and the potential for total loss of assets.
12.2 Regulatory Risk
The Platform, its associated tokens, and the underlying blockchain infrastructure could be impacted by regulatory inquiries or actions in one or more jurisdictions, which could impede or limit your ability to access or use the Services.
12.3 Smart Contract Risk
Smart contracts deployed in connection with the Platform are software code subject to potential flaws, bugs, and vulnerabilities. You acknowledge that you interact with smart contracts at your own risk and that we are not liable for any losses resulting from smart contract failures or exploits.
12.4 Third-Party Services
The Platform may interact with or reference third-party services, including but not limited to decentralised exchanges, wallet providers, and blockchain explorers. We do not own or control these services and are not liable for their acts, omissions, or any damages arising from your use of them.
13. Indemnification
You agree to release, indemnify, defend, and hold harmless the Platform operator and its officers, directors, employees, and representatives from and against any and all losses, liabilities, expenses, damages, and costs (including legal fees) arising from or relating to your use of the Services, your violation of these Terms, your content, or any of your acts or omissions.
14. Content Moderation and Account Suspension
The Platform reserves the right to remove content, suspend accounts, or restrict access to the Services at its sole discretion, including but not limited to cases involving violation of these Terms, fraudulent activity, abuse of Platform mechanics, or any conduct deemed harmful to the Platform or its users.
15. Intellectual Property
15.1 The Platform name “Electric Sheep,” its logo, visual design, and associated branding are the property of the Platform operator. You may not use these without prior written permission.
15.2 The Platform respects intellectual property rights. If you believe that content on the Platform infringes your intellectual property, please contact us with the relevant details.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE PLATFORM OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
17. Governing Law
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Services shall be resolved through good-faith negotiation and, if necessary, through binding arbitration or in the courts of the applicable jurisdiction.
18. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
19. Entire Agreement
These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and the Platform operator regarding your use of the Services.
